Welcome to Food With Thought AI LLC (“Food With Thought,” “we,” “us,” or “our”).
These Terms explain how you may use our website, onboarding materials, advisory services, custom AI setup support, and related offerings (together, the “Services”). By using our Services, you agree to these Terms.
1) What we do
Food With Thought helps organizations use AI tools more effectively in food, agriculture, and regenerative systems work.
In most cases, we do not provide the underlying AI account. Instead, we provide the advisory layer around it, such as:

onboarding and setup guidance

custom instructions and workflow design
-
documentation and training
-
implementation support
-
ongoing advisory services
2) Your ChatGPT or other AI account
Many of our Services are designed to work with your own third-party AI account, such as ChatGPT.
That means:
-
you are responsible for creating and maintaining that account;
-
you are responsible for complying with that provider’s terms, billing, privacy practices, and usage rules;
-
we do not control that provider’s uptime, features, pricing, or policy changes; and
-
if your third-party AI account is limited, suspended, changed, or terminated, some of our Services may not work as intended.
A paid ChatGPT plan may be recommended for some workflows because paid plans may offer broader access to features, models, and capacity. However, those features are controlled by the third-party provider, not by Food With Thought.
3) Human review is required
Our Services are meant to support human decision-making, not replace it.
AI-generated outputs can be wrong, incomplete, outdated, or not suited to your situation. You are responsible for reviewing and verifying any output before relying on it.
Food With Thought does not automatically take action inside your systems unless we separately agree to that in writing.
4) Who can use the Services
You may use the Services only if you can legally agree to these Terms.
If you use the Services on behalf of a business, farm, nonprofit, or other organization, you confirm that you have authority to bind that organization to these Terms.
5) Fees and payment
If you buy a paid service, membership, setup package, or advisory engagement from us, you agree to pay the fees shown on our website, checkout page, proposal, or service agreement.
Unless we say otherwise in writing:

fees are billed in advance;
-
payments are due using the payment method you provide; and
-
unpaid accounts may be paused or canceled.
Unless required by law, fees already paid are non-refundable once the service period or engagement has started.
6) Onboarding and information you provide
To tailor our Services, we may ask for information about your goals, workflows, team, operations, documents, or use cases.
You are responsible for making sure the information you provide is accurate and that you have the right to share it with us.
The quality of our recommendations depends in part on the quality of the information you provide.
7) Confidentiality and data handling
We will use reasonable safeguards to protect information you share with us.
At the same time, our Services may involve third-party platforms, including AI providers, website tools, payment processors, scheduling tools, and analytics providers. Those third parties may handle data under their own terms and privacy policies.

8) Intellectual property
You keep ownership of the content and materials you lawfully provide.
We keep ownership of our own materials, including our methods, prompts, templates, training content, frameworks, branding, website content, and documentation.
You may not copy, resell, sublicense, or republish our proprietary materials unless we give written permission.
9) Acceptable use
You agree not to:

use the Services in a way that breaks the law;
-
try to gain unauthorized access to our systems or accounts;

interfere with the security or operation of the Services;
-
misuse our materials to build a competing product or service based on our proprietary work;

upload harmful code, fraudulent content, or content that infringes someone else’s rights.
We may suspend or terminate access if we reasonably believe these Terms have been violated.
10) No guarantees
We provide the Services on an “as is” and “as available” basis.
We do not guarantee that:
-
the Services will be uninterrupted or error-free;
-
any AI output will be accurate or complete; or
-
the Services will meet every need, workflow, or compliance requirement.
11) Limitation of liability
To the fullest extent permitted by law, Food With Thought is not liable for decisions, actions, losses, or damages arising from reliance on AI-generated content or recommendations.
We are also not responsible for failures, outages, billing issues, data practices, or feature changes of third-party providers such as ChatGPT or other AI tools.
If the law allows a limit on our liability, our total liability to you for claims relating to the Services will not exceed the amount you paid us in the 12 months before the claim arose.
12) Ending the relationship
You may stop using the Services at any time. If you wish to stop your subscription, be sure to cancel prior to the following payment cycle to avoid the next monthly payment.
We may suspend or end access if:
-
you violate these Terms;
-
you do not pay amounts due;
-
a required third-party service becomes unavailable;
-
continuing the relationship creates legal, security, or operational risk; or
-
we discontinue a Service.
Sections that should naturally survive termination will continue to apply, including payment obligations, ownership terms, disclaimers, and liability limits.
13) Changes to these Terms
We may update these Terms from time to time.
If we make a material change, we will post the updated version on our website and update the effective date. By continuing to use the Services after the updated Terms take effect, you agree to the revised Terms.
14) Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law rules.
Any dispute relating to these Terms will be handled in the courts located in Williamson County, TN, unless applicable law requires otherwise.
